A board member is any individual who currently serves on the HOA's board of directors, whether elected by the membership or appointed to fill a vacancy. Board members are volunteers bound by a fiduciary duty to act in the community's best interest — not their own personal interest or the interests of any subset of owners. They are expected to attend board meetings, vote on association business, review financial reports, and participate in committees. Any homeowner in good standing (dues paid, no outstanding violations) is typically eligible to serve unless the governing documents impose additional restrictions. Board members who are also paid vendors or contractors must disclose and often recuse themselves from related votes.
